TERMS AND CONDITIONS

By accessing the Decision Navigator website ("the Site") you agree to these terms and conditions. If you do not agree to these terms then you will not be able to access the Site.

1. Terms of Use

   1. Password

      If you are an Accredited Practitioner you agree to keep your password confidential and to notify Beechwood International Ltd registered in England No. 2452988 (Beechwood") within 24 hours if your password is compromised.

   2. Use of the Site

      You agree not to:

      • access the password protected section of the Site unless you have a current Decision Navigator accreditation from Beechwood or an organization authorised by Beechwood to accredit users;
      • restrict or inhibit any other user from using the Site;
      • use any device, software or technique to interfere with or attempt to interfere with the proper working of the Site;
      • post on or transmit into the Site any unlawful, fraudulent, threatening, harassing, abusive, libelous, defamatory, obscene or otherwise objectionable or harmful information of any kind;
      • post on or transmit into the Site any information or software that contains a virus, bug, worm, trojan horse or other harmful or disruptive element;
      • publish, republish, perform, distribute, assign, sublicense, sell, prepare derivative works, modify, lease, rent, copy, reverse compile, reverse engineer, transmit, display, decompile, translate, or use the Materials (other than as expressly permitted in these terms or by your accreditation);
      • use any device or technology to provide repeated automated attempts to access password-protected portions of the Site.
      • reproduce or commercially exploit any Material or Decision Navigator in any form, other than as expressly provided in these terms or by your accreditation.
   3. Monitoring

      You acknowledge that Beechwood has the right, but not the obligation, to monitor the Site and to disclose any information to comply with legal obligations or governmental requests.

   4. Compliance with law

      You agree to comply with all government laws, statutes, ordinances, and regulations (including unfair competition, anti-discrimination and false advertising) regarding your use of the Site.

2. Responsibilities of Beechwood

   1. Internet Risks

      As Decision Navigator is accessed by an Accredited Practitioner over the internet it is subject to the internet’s inherent availability risks. Beechwood does not guarantee that Decision Navigator will always be available and does not guarantee the security of Decision Navigator, any systems (including the Internet and your hardware and software) used in providing Decision Navigator, any information passed through the system or that any such systems will be continuously live or virus free.

   2. Malicious Harm

      You accept the risk that data may be intercepted and read by persons with malicious intent and used to cause loss or harm to you or to other persons.

   3. Maintenance

      From time to time Beechwood may perform or cause to be performed scheduled or unscheduled maintenance. If maintenance requires the suspension of Decision Navigator for more than 120 minutes, we will use our best endeavours to give you prior notice of such maintenance, however we do not guarantee that we will be able to provide such prior notice and you acknowledge that we may not be able to provide you with prior notice of certain maintenance work required to be conducted by us.

   4. Discontinued and Enhanced Features

      Beechwood may at its discretion discontinue features of Decision Navigator and may or may not replace them with or introduce new or enhanced features.

3. Risk and liability

   1. Warranty

      Beechwood warrants that it has all necessary rights to grant you, as an Accredited Practitioner, access to the Site.

   2. Use at Own Risk

      You agree that you use Decision Navigator at your own risk. Subject to clauses 3.1 and 3.5, Beechwood expressly excludes all terms, conditions, warranties, undertakings, representations, or rights, express or implied in the provision of Decision Navigator and the support services provided in relation to Decision Navigator including, without limitation, all liability in respect of:

      1. training for accreditation;
      2. your use of Decision Navigator; and
      3. any third party claims howsoever arising from the use of Decision Navigator,

      whether such liability arises in tort (including without limitation negligence), contract or equity except to the extent that any such exclusion would contravene any applicable law or cause this clause to be void.

   3. Indemnity

      Subject to clauses 3.1 and 3.5, you indemnify Beechwood and its related companies and their respective directors, employees and contractors against all loss and damage (including costs on a full indemnity basis) that it or they or any may sustain or incur as a result of any actions, claims, suits, proceedings or demands arising directly or indirectly out of:

      1. training for accreditation; or
      2. your use of Decision Navigator.
   4. Indirect Loss

      Subject to clause 3.5, none of Beechwood or its related companies or their respective directors, employees or contractors are liable in any way for any indirect or consequential loss or loss of profit or damage arising out of or in connection with your use of Decision Navigator.

   5. Saving

      If any legislation implies into this Agreement any term or right and also prohibits provisions in a contract excluding that term or liability under that right then, to the maximum extent permitted by law, the liability of Beechwood for a breach of such term or right will be limited, at its option, to any one or more of the supplying of the services again or the payment of the cost of having the services supplied again.

   6. Representation

      You agree that you have not relied upon any representation made or alleged to have been made (whether by or on behalf of Beechwood, its related companies or their respective directors, employees or contractors) which is not expressly set out in a written document supplied to you by Beechwood.

4. Privacy and Data Management

   1. Privacy

      Beechwood takes the issue of safeguarding your privacy seriously. The following discloses our information gathering and dissemination practices for the Decision Navigator website.

      Please direct all your questions and concerns pertaining to the Site or this Statement to us at admin@decision-navigator.com and we shall work with you to resolve your concerns.

   2. Collection of personal information by BMI

      The registration page requests a user name and password. This is required in order for you to access, and use the tools available on, the Site.

   3. Where your personal information is stored and how Beechwood uses it

      Data is stored in our central system for identification and access purposes and so that we can contact you with queries or for other reasons connected with the availability or use of the Site. We also maintain an email database for the purpose of contacting and updating Accredited Practitioners and interested parties with information concerning the Site and the tools available on it or which may become available. We might also use your contact information in order to obtain feedback in various forms.

      If you do not provide us with your personal information, we will be unable to maximise the benefits you will derive from accessing and Site and using the tools available on it.

   4. Disclosure of data

      Beechwood will not share your information with third parties except in the following circumstances:

      • Where disclosure is required or authorised by law for example, by a court order, judicial proceeding or subpoena.
      • Where disclosure is reasonably necessary in our opinion to deal with misuse or unauthorized use of the Site, the Material or the Intellectual Property.
      • Where disclosure is reasonably necessary in our opinion to protect the safety of the public or members of the public.
      • In the event of a sale, merger, or acquisition of the assets of Beechwood which includes Decision Navigator or the Site.
   5. Collection of information other than personal information
      • When you visit the Site or click on one of our links, Beechwood may automatically record information such as your I.P. address, operating system, browser version, date and time of your visit, pages you accessed and information you downloaded. We use this information to generate usage statistics and to assist in improving the quality and usability of the Site. We may also use I.P. addresses to track abuse of the Decision Navigator system.
      • When Beechwood provides you with links on the Site or in our emails, they may include a special tracking code unique to you. We may share this data in aggregate form, but we will never share it in individual form.
      • A cookie is a small string of information that a website transfers to your browser for identification purposes. We may use cookies to determine who accesses the Site and to analyse how the tools on the Site are used.
   6. Notification of Changes

      Beechwood reserves the right to modify this privacy policy. For this reason, you should regularly check our policy to ensure that you are up to date. Should we make material changes in the way in which we handle your personal information, we will notify you by a placing a notice on the home page of the Site.

   7. Access and Correction of your personal information

      You can ask to access your personal information which we hold, although under some circumstances permitted by law, we may not provide such information to you. It is important to us that the personal information we hold about you is accurate, complete and up to date. If you would like your personal information corrected, please email admin@decision-navigator.com with your updated information.
